China’s reform and opening has made significant progress since the 17 th National Congress of the China Communist Party. China has had some success in land requisition system reformation, cultivation of the collective land and some other aspects. The CPC Central Committee’s decision clarifies that the reform should make the market play a decisive role in the allocation of resources and establish a unified construction land market. Under the premise of satisfying the planning and utilizing standard, it is allowed that the rural collective construction land has the same right with the state-owned land in transfer, leasing and allocating. Apart from that, it also emphasis on establishing the land value-added income distribution mechanism which balances the relationship between national, collective and individual, thereby increasing personal income within a reasonable range, perfecting the secondary market of collective construction land. However, the reason why the highest political level maintains a very cautious attitude to the collective construction land market’s liberalization is that the relationship between the interests of the parties does not straighten out and it is likely to cause new social issue. Meanwhile, there are some income distribution problems in the implementation in some pilot areas, which has become a focus of society controversy.The structure and content of the article is as follows: The first part is about the concept and theoretical basis of the research object. This part defines the range and basic concepts of the study object, as well as briefly illustrates the theoretical basis which needs to use in the following analysis. The second part analyses the links, participants and distribution approaches of the collective business construction land marketization income distribution, from the viewpoint of rent theory and the theory of property rights. Based on this, it takes advantage of Game Theory to carry out Game Analysis among the participants. The third part takes Nan Hai District for example to conduct Empirical Analysis. It carries on the deep investigation of stakeholder’s willingness to study the demands of different stakeholders. At the same time, it verifies the fit goodness between the theory and practice by using the former part. The last part puts forward the countermeasures.
