The most important policy of growth-stage-company is human resource management and incentive mechanism is the core content of it which involves every aspect of corporate governance. Thus, the establishment of incentive mechanism is an efficient way for an enterprise to accumulate management experience and to get rid of growth phase traps.The research object of this paper is H, which has just entered growth stage. The mismatch of the company’s governance ability and development has caused stagnation of its business development. This paper uses the management of growth stage as the breakthrough point to explore the effective formation of incentive system of growth stage. By analyzing the domestic and foreign related theories and practice, combined with the characteristics of enterprise growth stage, this paper discusses the establishment of appropriate incentive system of growth staged company in order to help enterprises get rid of growth phase’s trap.This paper has five parts in total. The first part introduces the background and meanings of this paper’s topic, as well as literature review of life cycle theory and incentive theory, research methods and routes. The second part introduces the status quo of H’s incentive system, including the organization structure, business status and salary structure of H. The third part analyses the problems of H’s incentive system by using satisfaction survey which centers on training, salary management and performance management of H. The fourth part is about building growth-stage company’s incentive system. According to life cycle theory and incentive theory, contrasted by problems about H company’s incentive system, combined with practice, focused on performance management and salary management systems and coupled with establishment of relevant systems, this part wholly presents building incentive system which is suitable for H company. The fifth part summarizes this paper and presents the prospects of future research.
