The dynamic changes of the environment has caused huge challenges and threats for the survival and development of the enterprise.As a strategic resource, knowledge has become a shortcut to acquire competitive advantage. With the rapid and sustained development of Chinese economy, Chinese corporations have begun to enter the international market by means of cross-border mergers and acquisitions. Only in 2015, the number of involved in cross-border M&A of Chinese enterprises reached 593 cases, and the amount to $40.1 billion. Cross-border M&A has become the important means to obtain heterogeneous knowledge resources for Chinese enterprises.However, the implementation of knowledge acquisition requires the effective support of many conditions through the transnational M&A. Cultural compatibility and organizational trust has already become the important factors that affect knowledge transfer of transnational M&A. After reading a lot of related literature and books, the article researches knowledge transfer from the perspective of cultural compatibility and organizational trust, and discusses their influence to knowledge transfer performance of transnational M&A. At the same time, we take knowledge integration capability as the intermediate variable to analysis the intermediary role of knowledge integration capability in cultural compatibility, organizational trust and knowledge transfer performance. On this basis, this article uses the theory of cross-border M&A and knowledge management as the guidance, and builds a theory model of cultural compatibility, organizational trust and knowledge integration capability influencing knowledge transfer performance of transnational M&A, and then puts forward relevant research hypothesis. This article collects data by means of questionnaire and gives empirical analysis of 179 valid questionnaires by SPSS17.0.By the quantitative and qualitative analysis, several conclusions are achieved: cultural compatibility has positive impacts on knowledge transfer performance in multinational mergers and acquisitions; organizational trust has positive impacts on knowledge transfer performance in multinational mergers and acquisitions; cultural compatibility has positive impacts on knowledge integration capability; organizational trust has positive impacts on knowledge integration capability; knowledge integration capability has positive impacts on transfer performance in multinational mergers and acquisitions; the partial mediating impact of knowledge integration capability on the relationship between cultural compatibility and knowledge transfer performance is well tested; the partial mediating impact of knowledge integration capability on the relationship between organizational trust and knowledge transfer performance is well tested.In this paper, the structure is as follows: the first chapter mainly elaborated the background of selecting topic, significance, research contents and methods; The second chapter mainly discusses the related theories and research status of the knowledge transfer of transnational M&A, cultural compatibility, organizational trust and knowledge integration capability; The third chapter put forward related research hypothesis and models by analyzing the relationship between research variables; The fourth chapter is the empirical research and results discussion; The final chapter is research conclusions and prospect.
