Under the background of the reform of state owned enterprises, he downturn of economic and so on, Chinese enterprises have fully realized the importance of overseas business development. China’s enterprises in the process of going out, the level of their own technology gradually improve, the competitiveness gradually increased. Especially, the construction industry of China, foreign engineering contracting business continued to grow, and make a significant contribution to the development of the national economy.In the process of going out, engineering construction enterprises have to consider the governance structure themselves and their molecular companys. Although, there were a lot of research on the corporate governance structure, research for the engineering construction industry were rarely. In this paper, the research method were induction method, deductive method, principal component analysis, gray correlation analysis and so on. Trying to find the relationship between the structure of corporate governance and business performance. Emphasis is on the importance of the relevant factors to sort. Then use the gray comprehensive correlation analysis to examine the influence of the seven factors on the performance of the company, finally make the conclusion. Which were the important factors of corporate governance affect the company’s performance of foreign investment. Help these enterprises to design corporate governance structure, in the implementation of foreign investment decisions.
