Under the urbanization and industrialization background, the new changes have occurred in rural areas proposed some new requirements in Rural land System reform.According to the third Plenary Session of the 18 th CPC Central Committee spirit,which rural land contract and management right can be transfered to specialized farmers,family farms,farmer cooperatives and agricultural rnterprise on the free market is encouraged.It’s also support farm operations innovation and establish a reasonable land income distribution mechanism between national, collective and individual.The 2016 central document states that we should adopt new development concept to solve the problems occurred in rural areas and expore the advantages of argriculture.At the same time,we also need to take effort to drive innovation and promote agricultural supply-side structural reform.In order to increase farmers’ income and maintain stable development of agriculture,we have to adopt a agricultural development mode which is more output efficiency, product safety, resource-saving and environment-friendly.It will promote the new urbanization and new rural construction at the same time.And more important,it can make farmers participate the modernization process and share the benifits of modernization equally.Supply-side reform in rural is further exploration of rural reform and development,rural land management right transfer is an important aspect of the supply-side reforms which is key to agricultural modernization.In the practice,it has proved that rural land management right transfer can effectively improve the agricultural output and social productivity. However,due to the unreasonable distribution and lack of interests regulate mechanism, conflicts and disputes about interest distribution always happen which dampened the enthusiasm of various stakeholders, restricted the agricultural modernization process. How to establish a reasonable interest distribution mechanism between state,collective, individual is an important issue.In this paper, on the basis of rural land management right transfer, we choose benefits distribution and regulation as the starting point, analyzing the interest source of rural land management right transfer which is supported by rent theory and resources value theory. Atthe same time, by analyzing constitute of main stakeholder and its interest objectives, we found that each stakeholders would make a rational choice under the condition of self-interest. Then, we study the performance of interest conflict, to reveal the reason of interest conflict. According to the rural land management right transfer practical, we get some experience and lessons that can safeguard each stakeholder’s legitimate interest,which providing a reference for mediate the conflict between different stakeholders.This paper includes five chapters: the first chapter is an introduction which introduced the research background, significance, methods, innovations and shortcomings; the second chapter is theoretical overview which elaborates the meaning and motivation of rural land management right transfer, analyzes the source of interests, and revel the reason of interest’s conflict; the third chapter is about stakeholder analyzes, which analyzes the constitute of stakeholders and its interest objective; the forth chapter presents the experience about how to distribute the transfer benefits reasonably and how to adjust the interests conflict fairly; the fifth chapter is the conclusion and prospect.
