With the continuous development of China's social and market economy, the governmental hospitals under the management of traditional mode can no longer meet the growing demand for public services, at the same time, social contradictions such as the difficulty and expensive medical treatment sparked by decreasing public welfare, social benefits and other reasons occurred. Therefore, taking into account the principle of fairness and efficiency in governmental hospitals, the reform of the management system and operation mechanism of governmental hospitals has become an important task for China to deepen the reform of health system. The exploration of corporate governance structure which meeting the needs of health reform is not only an important exploration of governmental hospital system reform, but also a new subject to deepen reform of public institutions. It needs to the intensive research in theory, and active explore in practice.This thesis based on the basic theory of corporate governance structure, takes Dalian institution reform pilot unit-Dalian Municipal Women and Children's Medical Center as an example, and focuses on the research of the corporate governance structure mode of Dalian Women and Children's Medical Center. This thesis collects the data from the application of the case, which can reflect the situation of resource and the operation of the hospital, compared with Dalian Women and Children's Health Care Hospital and Dalian Children's Hospital. On this basis, this thesis studies the current situation of corporate governance structure of Dalian Municipal Women and Children's Medical Center carefully by using literature analysis, in-depth interviews and actual case study method, and considers that the reform of corporate governance structure of Dalian women and children's Medical Center has achieved initial results, its governance model is the responsibility system of the president under the leadership of the council, solves the problem of the traditional management of the public hospital, achieves the reasonable allocation of the responsibility of the hospital, protects the interests of the relevant parties to maximize the interests of the hospital by establishing the council as the decision-making agency, the president and managements as the executive agency. Meanwhile, Dalian women and children's medical center set up an independent board of supervisors as a supervisory agency to strengthen the routine supervision of hospital directors and managements, to ensure the efficient operation of hospitals. However, there are still some difficulties in the reform of the corporate governance structure of the hospital, for instance, the difficulty of government department co-operation, the weakness of public awareness, no work of external director and so on.On the basis of the induction of the relationship between the corporate governance structure and the typical experience of the corporate governance structure of Dalian Women and Children's Medical Center, this thesis constructs an ideal model for the governance structure of council, sums up the basic principles of the construction of the corporate governance structure. After analyzing the feasibility of the case result, it proposes the three premise conditions of generalizing the implementation of the corporate governance structure of council:full investigation and evaluation, implementation of corporate power and strengthening public opinion. On the other hand, it points out the four aspects of the security system:establishing organizational structure, making the duty and responsibility clear, developing a sound constitution and a sound system of protection in order to look forward to offering ideas and experience for public institutions reform of our city.
