Research On Legal Regulations Of Chinese Enterprises' Outbound Investment

With the implementation of national strategy “One Belt and One Road”,the Chinese government encourages the enterprises of China to go abroad and look for common cooperation and development.The enterprise as an important market player must play a central role in this government's national strategy “One Belt and One Road”.Outbound investment is a key method for an enterprise to develop abroad and during this process enterprises face many legal problems that need to be solved.The legal regulations of outbound investment deserve special attention.Therefore,to research legal regulations of outbound investment is of great practical significance.This thesis focuses on research about legal regulations related to outbound investment of Chinese enterprises.The paper's main structure is as follows:The introduction part mainly presents the background and significance of this topic research scope,methods and innovations of this thesis.The first chapter is mainly an overview about the legal regulations of Chinese enterprises' outbound investment,including Chinese enterprises outbound investment and its historical development,the motivation,methods and characteristics of Chinese enterprises' outbound investment,the present situation and basic characteristics of Chinese enterprises' outbound investment legal regulations.The second chapter is mainly about Chinese enterprises' outbound investment entity regulations,which mainly includes the object of regulations,pre reporting system,project approval and area requirements,financial regulations of outbound investment and tax regulations of outbound investment.The third chapter mainly researches the procedural regulations of Chinese enterprises' outbound investment,including,approval and filing procedures of National Development and Reform Commission,approval and filing procedures of Ministry of Commerce,regulatory procedures of State-owned Assets Supervision and Administration and procedural regulations of State Administration of Foreign Exchange.The fourth chapter mainly points out the deficiency of China's current outbound investment legal system,including the problems existing in current Chinese enterprises' outbound investment legal regulations and specific suggestions for solving these problems.In this chapter I put forward suggestions about relevant outbound investment's legal regulations,such as,to establish uniform "Outbound Investment Law",to improve approval system,insurance system,security and safety system,foreign aid system and the foreign exchange system.This thesis researches and analyzes Chinese enterprises' outbound investment's legal regulations and identifies problems and countermeasures of current legal regulations.I hope my thesis could provide help to Chinese enterprises.
