Research On The Corporate Governance Structure Of The Rural Credit Cooperative,Focus On The County Unit

With the deepening reform of rural credit cooperative, the orientation of shareholding system reform was gradually clear. The legal problem about the imperfect corporate governance structure appeared for the system reason of the rural credit cooperatives. It bring negative effect to the reform.The important reason of the imperfect corporate governance structure is the owner absence of the rural credit cooperatives was pointed by reviewing and analyzing the corporate governance structure and its evolution. The imperfect corporate governance was embodied in the disabled principal-agent, the formed insider control, and the useless commune member's representative assembly, council, supervisory committee and managerial class.Base on the interrelated law, theory and practice, the suggestion was pointed out as follow: Base on the stock system reform, clarify the relationship of property right, redefined the legal authority of the ‘three-council and one layer'. The initiative of commune member's was compelled by strengthen institutional development and establishing the effectively excitation mechanism. And de-administration of the province rural credit cooperative was also important. The corporate governance structure will be completed and the reform of rural credit cooperative will be deepened with the above measures.
