Rural credit cooperatives, as a kind of organizational form of cooperative finance, in aforeign country has one hundred years of development history. After the founding of newChina, our country also established a large number of rural credit cooperatives to support ruraleconomic development. After60years of development, China’s rural credit cooperatives is themain force of rural finance, and in the service "three rural" played an irreplaceable role. Asthe country is becoming more and more attention to the problems of "agriculture, rural areasand farmers, the rural credit cooperatives reform for many times, but because of manyproblems left over by history, there are still unclear property rights, imperfect corporategovernance structure, capital adequacy ratio is low, the market localization is not clear,management is not science, and many other difficulties, especially the property rights andmanagement is not scientific corporate governance problems such as seriously restricts thedevelopment of credit union itself, more affect its support for rural economic development.Therefore, how to better solve these problems of rural credit cooperatives, better service"three agriculture", and realize their own long-term development has become an importantresearch subject.This article through to the corporate governance structure reform of carding, analysis ofdomestic and international corporate governance model, and the comparison of foreigncooperative financial institution specific case, at the same time in hebei province rural creditcooperatives in February data, for example, has analyzed our country present defects ofcorporate governance structure of rural credit cooperatives, including legal status is unclear,the member’s congress fause, Richard (dong) will be offside, principal-agent relationship isnot smooth, can’t play to the supervisory function of the board of supervisors, etc., exploresthe causes of these defects, mainly include unclear property rights, equity structure is notreasonable, the external governance structure is not sound, management system is not smooth,the incentive constraints mechanism did not play a proper role, etc. Instance throughcooperative financial institutions of other countries for reference, the author views are offered on the next direction of corporate governance structure reform, including perfecting themanagement system, promote the property rights system reform, strengthen the rural creditcooperatives financial capital strength, strengthen internal management, etc. Finally, theauthor to achieve the objectives of the corporate governance reform of rural creditcooperatives puts forward concrete Suggestions, including a clear legal status of rural creditcooperatives, clear property right relations, optimizing equity structure, perfecting the "threemeeting" governance, strengthen information disclosure, improve the external governanceenvironment and set up scientific assessment and incentive system.
