Research On Foreign-invested Enterprises Registration System In China

The legal system of foreign investments is a fundamental legal system safeguarding development of foreign-funded enterprises.In recent years,China has shown increasing potential in attracting foreign investments,thus leading to gradual formation of a set of legal systems regulating foreign investments.However,problems existing in China's registration and management system are becoming increasingly prominent,having exerted a negative influence on development of foreign-funded enterprises.This paper analyzes problems existing in the current registration system of foreign-funded enterprises,and proposes several suggestions for improvement of the foreign investment registration and review system.To be specific,these suggestions include improvement of relevant legislations and establishment of corresponding relief systems to cut the registration cost of foreign-funded enterprises and improve the administrative efficiency.This paper consists of five chapters.Chapter 1 introduces the research background and significance of this paper,mainly explores the research background and status of the foreign investment registration and review system,and points out its main characteristics and defects.Chapter 2 is an overview of the registration and review system for foreign-funded enterprises.This chapter focuses on expounding basic theories at an attempt to build the theoretical basis for discussion of issues in real life in the following part.To be specific,concept,legal attribute and legal efficacy of foreign-funded enterprises are analyzed,and the registration and review system for foreign-funded enterprises are introduced.Chapter 3 focuses on value orientation of legislation of reviewing foreign investments and the review system design.First,the value selection of legislation of foreign investment registration in China is analyzed.Then,the influence of the concept of "service-oriented government" on China's foreign investment review system is introduced.Through analysis of the "negative list" model,value orientation of China's restriction of the public power and protection of the private rights is pointed out.Chapter 4 introduces the legislation status of China's registration system for foreign-funded enterprises and existing problems,attempting to analyze major causes behinds these problems.Chapter 5 explores improvement of China's registration and review system for foreign-funded enterprises.Concerning problems existing in China's legislation for foreign investment review and practices,countermeasures are proposed in accordance with basic administrative principles.
