A Study On Enterprise Registration System

Along with economic development and acceleration of integration process, the enterprise registration system gradually shows its economic value and social value and attracts more and more experts and scholars, thus becoming a significant study object in many civil and commercial law systems and playing an important role in the respective civil and commercial law system. As an executive body of enterprise registration, the industry and commerce organ also carry out a series of reforms and become the sally port for the reform of administration examination and approval system; the data for the registration quality and quantity of the main market players collected and mastered during daily registration lays s solid theoretical foundation for government decision-making and macro-control of state economy. In this thesis,starting from the basic concepts of enterprise registration system, the contents and nature of the enterprise registration system is explained, its historical development is analyzed and the conditions before and after the reform are compared to find the advantages and disadvantages through the literature research method, comparative analysis method and empirical analysis method based on the working angle, the actual conditions of Daqing Industrial And Commercial Bureau and the relevant data and diagrams and the the improvement measures are posed based on the practical experience.This thesis consists of three parts: the first part is about the basic condition of enterprise registration system. Firstly, it introduces the basic concept of enterprise registration system and the contents and nature of enterprise registration and finally introduces the historical development of enterprise registration system; it analyzes the important position of enterprise registration system in the process of social economic development through analyzing the historical developing process of the system and the role it has played in different historic stages to lay foundations for the reform of enterprise registration system in future. The contents of enterprise registration includes how to give play to its function in regulating main market players during thedaily registration. The nature of enterprise registration is administrative verification and administrative licensing. The second part is the main part of this thesis, namely the reform of enterprise registration system. Starting from reform reasons, it analyzes the inevitability and urgency of reform which is the inevitable choice after the socialist market economy develops into a certain stage. The reform achievements are analyzed from the changes of relevant measures and contents before and after reform and the actual condition of Daqing City are used to fully prove the positive role of reform; the economic and social benefits brought by the reform are analyzed in detail and the changes of medium small and micro-sized enterprises before and after the reform are used to represent the reform achievements. Besides, the relevant data and diagrams of SAIC are used to provide evidence. The second part is the analysis of reform deficiencies and improvement measures. The reform is significant, however, it also has obvious disadvantages; due to the restriction of economic development degree and the current development condition of Chinese enterprises, there is still a certain gap between China and western developed countries and thus there are still deficiencies in system design and method; in daily enterprise registration, there are many problems, leading to the appearing of “One Yuan Company” and “One Hundred Million Yuan Company”; moreover, the benefits of many innocent creditors may be damaged and the exit of main market player may become a problem. Based on the working practice and the comprehension of enterprise registration system. The author strives to analyze this reform and investigate the main market players to analyze the deficiencies of current enterprise registration system and posed the methods for solving the problems based on the relevant theories from the angle of practice, hoping to lay some theoretical foundations for the improvement of enterprise registration system in future.
