A Study On The Rational Allocation Of The Value System Of Our Company Law

The value of the law has been a hotpot in the research of the law,and only to study the value of the law can make a better law which conforms to the purpose of the law.Company law in our country is still in the early stage of development,and also failed to fully solve the problems in the market economy.Only to conduct the thorough research on the company law value system configuration and study how to build the company law value system can better realize the purpose of corporate governance and make company law system which is in accordance with the situation of our country.Firstly,this paper summarized the value of corporate law,analyzing the specific meaning of the efficiency,freedom,security,fairness and order of corporate law,and how the company law contains these values for what purpose.Secondly,this paper studies the development and changes of foreign company law and their allocation of value system.After learning about the German company law system,the double commission structure,management committee and the board of supervisors peer mutual supervision,power and responsibility,this article pointed out that the German corporation law attached great importance to the efficiency under safety and was equipped with The system of public summons supervision,making the German companies operating "in the sun",and establishing the German company integrity management institution.In view of board governance structure of the British company law,it pointed out that the British company law attaches great importance to the value of freedom and efficiency.And the British board power supervision system embodies that British company law ensures the value pursuit of other stakeholders.For the American company law,which is from enterprise autonomy allowed by the government,freedom to participate in market competition,to the supervision and information disclosure system established by modern American company law,the paper put forward that the directors were more loyal to their duties,and protected the rights of relevant people,such as the shareholders,employees,creditors,customers,communities and so on,which shows that the American company law pay attention to both safety and fair value from freedom and value of efficiency,and ultimately safeguard the order and stability of market.Thirdly,the paper pointed out the existing problems and causes of the current value allocation of corporation law in our country by analyzing the changes of process of corporate law modification in our country and the status of value allocation.Finally,based on the reference to the law value configuration from Germany,the UK,and the US,considering efficiency as the main line,safety as the auxiliary,fairness as the objective,to achieve company stakeholders’ rights and interests protection and corporate social responsibility,theoretical suggestion on the value of the company law in our country can be put forward.This paper made a systematic study on the rational allocation of corporate value system in our country by means of comparative analysis and value analysis.It studied the development and value orientation of foreign company law by historical analysis method,and analyzed the value pursue of foreign company law by comparative analysis method,and put forward the system content which can be used for reference,and the rationalization proposals for the allocation of the value system of the company law in our country.
