Public policy is an important part of public management from the perspective of discipline. Some institutions implementing management guide its development according to related policies. In order to realize scientific management, we need to fully recognize the importance of policy, and with the guidance of policy, the institutions can move towards a normal development, which is not deviated from reality. In recent years, compensation policy has been the focus of academic study, and especially provides greater theory and realistic significance for the analysis of our country's state-owned enterprises with the deepening reform in every aspect in our country.Establishing and improving the compensation policy of leaders of state-owned enterprises in a scientific and reasonable way is an important part of China's economic restructuring and is inevitable for modern enterprise system. Since the implementation of reform and opening up policy, it has been a key part of the reform of state-owned enterprises, on the one hand, it serves as incentive effects, relating to the motivation of the leaders of state-owned enterprises and having a huge influence on enterprises'development and the maintenance and appreciation of state-owned assets; on the other hand, it relates to the fair expectation of the public and the creativity and enthusiasm of broad workers, further influencing the public credibility of the economic system of socialism with Chinese characteristics.The paper studies the process of the reform of the compensation policy in China, and then tries to build a framework of empirical analysis based on the factors of capacity, performance and equality of enterprises' leaders, making full use of some public financial data of Shanxi's state-owned enterprises and the present compensation policy of leaders of state-owned enterprises. It is showed that on one hand, though some related policies are good, enterprises may compete with the policies for the sake of their own benefits, causing the policy distortion to a certain degree; on the other hand, with the implementation of deepening reform of state-owned enterprises, the compensation policy in our province reflects something which needs to be perfected. At last, the writer puts forward some suggestions according to the issues reflected in the study.
