Entering the new century, in order to meet the enormous challenges of the rapid development of China's socio-economic and public universities in China has also accelerated the pace of the deepening of reform and development. In fact, since the reform and opening up, the state has been trying to reform schools and government relations. From the introduction of the "Education Law","Higher Education Act "and other regulations, the public universities positioned as legal institutions to expand the autonomy, and government efforts to Straighten its relationship with the public universities. In essence,the Government has no important change. The relationship between public universities and the government is an administrative management. It can not fundamentally solve the many problems. The key is give independent legal status of public universities, and take corporate governance in the University. The focus of this study is integrating the legal system and public university's spirit, and the aim is to promote the development of the university.In this study, from the perspective of the rule of law, perfect the external and internal governance structure of the theoretical considerations. The full text is divided into four parts. First part is to analyze the corporate governance theory and the fit of the organization and management of public universities, and figure out university corporation reform has a theoretical inevitability. Second, to review the history of University Development, explicitly University from the early establishment contains the corporate governance, and the University's corporate identity will help safeguard the long-term development of the University. Again, the analyze at the time of the New Public Management, the development trend of public university reform in England, Japan Germany, and summarizes the experience of reform and development of the national universities. The last part is to summary the status quo of China's public universities:No independent legal status of public universities in external relations, school autonomy; internal governance structure in China is widespread in the party and government, regardless of the administrative powers of generalization, the main problem of academic power empty, and lack of democratic rights, and so on. Based on the the status quo and weaknesses of China's governance structure, the writer figure out countermeasure.
