It provides the environmental foundation for direct marketing model to enter China due to the constant changing of economic structures in China as well as the lack of related systems.The same preconditions also allow this new form of sales model to develop into illegal multi-level marketing(MLM)activities which is harming the environment of socialist market environment and the safety of citizens.MLM activities are developing rapidly and showing new features while socialist economy is changing.Chinese government has been taking different measures against MLM activities according to its characteristics under the circumstances as their damage is severe.And the promulgation of<Amendment to Criminal Law(Ⅶ)>on 28th Feb.2009 announced a new stage of legislation to MLM activities.In the meanwhile,the constant changing of the society material environment as well as the increasing acknowledge to relative laws from the criminals leave deficiencies in the relative regulations of ’to organize and lead MLM activities’ and obscures of judicial cognizance.Therefore,the writer thinks that the analysis and discussion on the judicial cognizance of the crime constitution towards MLM activities have great significance to strike this crime.There are three parts-Introduction,main body and conclusion-in the paper,and four parts in the main body:Part One introduces two typical cases,which bring the differences on judicial cognizance in between the prosecution and the defense.Part Two combs the object,subject,objective elements and the subjective elements of the crime in theory.Part Three argues the controversial points in judicial determination towards organizing and leading the MLM activities and states the writer’s views.Part Four makes legislative suggestions on the crime of organizing and leading MLM activities.
