A Comparative Study Of The Legal Systems Of Chinese And French Companies

Corporation law is a country's important economic law system,for the development of countries, and even for the world economy it has played an important role,the legal system of a company is perfect or not,for a major impact on a country's economy and the future development. China and France are of continental law system countries,in the relevant company legislations there are some similarities. However, China and France in its domestic politics, economy and culture, there are differences in many aspects, the company legislation of China and France also has many different places. In China and France company law system there exist differences in the overall framework, China's legislative framework mainly is based on the company law of the People's Republic of China and its corresponding revision but the French company legal framework is mainly based on the commercial regulations, with the trading company law as the core of the legislative system. Also, the China -French company legislation is different in many other aspects,such as shares transfer and company liquidation. In general,the French company legislation is more perfect than the Chinese. By studying Chinese and French legislative differences in the company, we will be able to find their own legislation deficiencies, so China can continue perfecting its legislation system of great significance.Therefore, this article will first through the literature research to determine the theoretical basis for this article, and then by descriptive study method, experience summary method in this paper,the method of the two countries in the current company overview of the legal system and legislative intent, and then through the comparison analysis to find out experience summary method,case method in the two countries problems existing in the current company law system, and puts forward relevant countermeasures and Suggestions.
