Self-dependent innovation,which is an essential aspect of enterprise development,is mainly based on people.Nowadays,a large number of enterprises regard manpower as operating capital and take strategic measures to realize it's potential to the utmost.Qualified personnel,as an important resource of rivalries between businesses,have became the key of enterprise's core competence,leading to a result that all competitions between companies come down to the competitions of talented employees.Therefore,how to motivate and keep cadres is a consistant subject concerned by management experts,scholars and enterprises.SD company which is a full-invested subsidary of Shenzhen Sunlord Electronics Co.,Ltd.,has established the good fundation by great efforts in recent years.And as an offshort of this listed company,SD company offered part of it's core employees the incentive machanism of two periods restricted stocks.SD company has more and more important personnel along with the development of itself and the group company,while the number of it's employees who can enjoy this incentive machanism is limited.In this case,group company decides to implement the policy that those who have been enjoying this incentive machanism will not be awarded the third incentive machanism of the next period restricted stocks.This leads to a subject that how this kind of pesonnel can share the dividends gained from the development of SD company synchronously.According to the subject given before,the thesis will give an analysis from the following aspects: first,the thesis elaborates the classifications of stimulation theroy,especilly from the perspective of behavioral theory to share the motives behind human conduct.Motivation determines the choice of incentive machanism directly.People's motivation is dynamic in different stages and environment,so the incentive scheme also needs to keep pace with time.Second,after sharing the stimulation theory,the dissertation analyzes the current situation of core staff in terms of their incentive machanism detailedly and concludes the contribution of current stimulation machanism to the company's development.At the same time,the thesis analysizes the difficults and problems from the level of company as well as core staff and proposes the subject needed to be solved.Third,this paper offers two solutions of this subject and gives detaild explanations respectively.In addition,the paper also recommends SD company a solution for decision-making accorfing to it's actual situation.The attempt of this solution is likely to lay afundation for the group company to implement a similar scheme.Besides proposing a plan of incentive machanism for SD company,this thesis can also be used for reference by other companies,which have excuted or are excuting the police of restricted stocks,to carry out the incentive machanism of stock options in the next step.Meanwhile,this paper is able to provide reference about how to develop incentive machanism of stock options for the enterprises,which have not carry out any this kind of machanism before,by undestanding the basic theory of stock options incentive,the main models of equity,the effect of equity incentive and other fundamental content.
