With the progress of enterprises and the development of science and technology,high-tech enterprises play more and more important role to the national economy,and high and new technology enterprise in management and production are different with the traditional enterprise vary,the most important feature is the talent,which is the most important contributors to the enterprise,the investment of human capital will promote technological progress and technological innovation to seize the market opportunities,to improve performance by improving their competitiveness.In modern business enterprise in the two rights of ownership and management separation,will lead to the principal agent problem and the problem of information asymmetry,as far as possible to reduce costs,China's listed companies began exploration of the equity incentive,the correctness and validity of the implementation of equity incentive,mobilize the enthusiasm of the enterprises core technical personnel and senior management personnel,to the long-term vision and the performance of the company and shareholder wealth have a synergistic effect,attract talent,to retain the elite,to realize the maximization of enterprise value.The developed countries first proposed the equity incentive,research in this relatively early,also developed countries implement equity incentive plan experience also in the development of more mature,most of the practice prove that equity incentive on the company's performance does have a role in promoting.But the equity incentive model in the late development of China,due to the full circulation of stock late development of laws and regulations is not perfect,only eleven years of development history,plus some malignant cases and conditions of difference make equity incentive in China is difficult to be generally accepted.In our Twelfth National People's Congress,Premier Li Keqiang has repeatedly stressed that enteiprises should increase the equity incentive mechanism to try to promote the development of China's overall economic.Therefore,how to maximize the use of incentives in the listing Corporation,but also need to continue to work hard and to explore.In this paper,using the method of combining the theory with practice,the relationship between high-tech enterprises equity incentive and performance,select the two as a representative of the high and new technology enterprise,overgeneralization.From the financial analysis point of view on the implementation of equity incentive and performance comparison,this paper argues that equity incentive,as a long-term incentive mechanism,to solve the principal-agent problem in the corporate governance in a certain extent,and the company's overall performance,and employee individual performance produced certain influence,will the interests of managers and shareholders tend to be consistent.
