The development of knowledge economy is becoming more and more rapid. Human capital has become a kind of important force for economic growth and social progress. It will also be the core competitiveness of enterprises in China.In the process of creating value, the human capital, as a form of capital, takes part in the process of production as well as the material capital, and it plays a decisive role. Therefore, the human capital, as well as the material capital, should get the economic rewards and participate in the distribution of the revenue of the enterprise. In this paper, we will talk about human capital participating in the distribution of the residual income.This thesis consists of five parts, as follows:In part one, it is the introduction of the paper. It introduces the paper's background and its theoretical and practical significance, objectives, range and research ideas, methods, innovation points and future development direction. It also includes the deficiency because time is not enough.In part two, it analyzes the theory of Human capital participating in the distribution of the residual income. In this part, it discusses the definition, characteristics of human capital and the environment to achieve the objectives.In part three, it talks about the present existing models such as annual salary, incentive stock options and equity-based incentives. The content includes definitions, methodology, the advantages and disadvantages.In part four, According to Vanke Co. Ltd's restricted stock incentive program, It analyzes the advantages and disadvantages of the stock incentive systems.Part five analyzes reasons of existing problems and puts forward related suggestions.From the point of view of research object, human capital participates in distribution of residual income which is the development and the impetus of the theory of accounting and finance. The innovation of this paper is as follow. Combining the theory of human capital and enterprise, from the point of view of human capital, enterprises is the human capital and unhuman capital is not a complete contract .Secondly, analyzing Vanke Limited company's restricted stock plan ,we can find there are a lot of problems in human capital distribution of the residual income ;Thirdly, it designs a more comprehensive system of income distribution.In general growing state enterprises, senior human capital should focus on the implementation of the based "performance" annual salary system; In general growing non-state enterprises, we can choose to implement "operator holding" the incentive system; in the in the perfect enterprise, incentive stock options should be implemented; in the corporate governance of enterprises, we should vigorously promote the Employee stock ownership plan.
