In the late 1990s,state-owned enterprises(SOE)in the wave of the fighting market economy,enterprises management models are archaic,managerial mechanisms are not flexible,low efficiency,heavy debt burden,the questions of overstuffed are prominent day by day.In the implement of restructure policies,process restructure program,reset enterprise employees,and other aspects are still exposed many problems,resulted in employees' rights and interests are not sufficient,resolve the debts are difficult,Group visit events occurred frequently after enterprise restructure.This article is in the background of SOE reform and restructure in H City,by deep analysis of K machinery manufacturing factory and H industry senior technical school,in the current situation of respective industry they belong to.found out their corresponding points in processing SOE restructure,Correctly balanced the relationship among the reform,development and stable,both side realized depend on each other?resources sharing after SOE restructure.Combined the "profit mission" with "public policy mission" in the production and operation of SOE.Based on the restructure problems of K machinery manufacturing factory,this article gives an introduction and analysis.In cases parts,introduced the strong need between restructure party and merger party,bilateral history evolution,and fundamental state;through the amalgamative Balance Sheet and profit appropriation statement,illustrated financial position and operating results;introduced the processing of enterprise restructure.Design of the restructure scheme and the Implemented results of the restructure.In cases analysis parts,firstly,deep analysis on the external environment,internal environment of the enterprise restructure,and the complementary strengths relationship of restructure partners,used SWOT analysis method analyzed strategic positioning;secondly,teased the prominent problems in the processing of the enterprise restructure,and gave the solutions of the problems;at last,pointed out the direction of the SOE reform,and gave out restructure suggestions.
