The reform of mixed ownership system is currently a deep-water area for the reform of state-owned enterprises.And,the Third Plenary Session of the 18th CPC Central Committee explicitly proposed the introduction of a system of professional managers in state-owned enterprises.Therefore,the selection and recruitment of professional managers are particularly prominent.At this stage,the mode of selecting and hiring is mainly the internal selection and hiring mode based on administrative appointment.The market-oriented allocation mode is not fully implemented.However,in order to achieve effective utilization of human capital,professional managers must be market-oriented.In order to achieve this goal,we based on the principal-agent theory,corporate governance theory and human capital theory,and in the corporate governance perspective.The mixed ownership of state-owned enterprises are divided,whether different subjects have mixed ownership structure of enterprises with the difference in the selection of occupation manager person,The mixed ownership structure balance the level of hiring managers will not affect mode of occupation.The board of directors as a bridge whether to play a role,these are the focus of this paper.Therefore,the research is roughly divided into three modules.The first module is mainly in combination with the principal-agent theory,corporate governance theory,human capital theory and other related theories and literature on the basis of research results,reviewing the existing state-owned enterprises of mixed ownership reform process of the occupation managers selection.Second,the paper try to solve the existing problems from the perspective of corporate governance and use empirical research methods to explore the occupation managers of state-owned enterprises hiring mode.The third module,the paper put forward the mixed ownership structure of the enterprise managers in heterogeneous occupation selection model under the corporate governance structure.Improving corporate governance structure,the board of directors in prominent independent decision-making role,and strive to achieve the market allocation mode of occupation managers.The shortcomings and shortcomings of the research are expounded,and the direction of future research is put forward.Study through empirical analysis of listed enterprises,mixed ownership structure heterogeneity and division of the main balance of two dimensions,and hiring professional managers regression analysis model.Analysis also confirmed the mediating role of board independence,and specific conclusions are as follows:1?Compared to the mixed with public ownership as the ownership structure in the mixed system,the external selection of market-oriented allocation is more likely to be chosen by enterprises under the mixed ownership structure dominated by non-state-owned enterprises;2?Mixed ownership balance is higher,the probability of the enterprise market occupation managers more greatly;3?The independence of the board of directors in mixed the ownership structure of the subject and the occupation managers hiring mode plays a positive mediating effect,compared to public ownership as the main body,mixed with the non-public ownership structure of the board of directors of the enterprise Independence is higher,and more inclined to choose market allocation model;4,The independence of the board of directors in the mixed ownership structure balance and occupation manager selection model also plays a positive role in mediating,the higher the checks and balances,the stronger independence of the board of directors,and the market allocation of occupations the higher the probability of strong.Therefore,under the premise of improving the rationality of the structure of mixed ownership,state-owned enterprises can highlight the role of the board of directors and continuously improve the corporate governance structure.In addition,under the principle of sticking to the principle of managing party cadres,we should rationally and scientifically carry out the market allocation of professional managers so as to achieve the objective of setting up a system of professional managers in the reform of mixed ownership by state-owned enterprises.
