With the development of the Internet economy,the international division of labor is further clarified,and the.global market structure is facing new challenges.In order to occupy the leading position,the international large retail enterprises are implementing merger and acquisition activities on a global scale.Nowadays,the traditional retail industry in China China is also suffering internal and external difficulities:the homogenization competition is fierce;Several large retail businesses closed offline physical stores;E-commerce development momentum is strong,gradually occupies more market share.The bricks-and-mortar retail industry is in a "cold winter".The key to getting out of the dilemma is to accelerate the transformation and upgrade and break through the barrier of traditional retail business model.Domestic enterprises can expand development by means of merger and acquisition.At present,a number of domestic retail enterprises carry out horizontal integration through overseas mergers and acquisitions,so as to expand the scale of enterprises,seize international market share and improve their competitiveness.But whether overseas mergers and acquisitions really bring positive performance to retail companies is a problem that we need to focus on.This article is to take Nanjing Xinjiekou Department Store Co.,Ltd oversea merging and acquiring HOF as an example to explore the impact of overseas M&A behavior on company performanceIn this paper,relevant literatures,relevant concepts and theoretical basis of overseas m&a performance would be introduced at first.The case of Nanjing Xinjiekou Department Store Co.,Ltd mergering and acquiring HOF would be used for analyzing performance changes in terms of overseas m&a.There would be a comprehensive analysis of m&a performance from various aspects as follows:market performance,financial performance and non-financial performance.The market performance analysis adopts the event research method,and concludes that the excess cumulative return rate of Nanjing Xinjiekou Department Store Co.,Ltd is continuously decreasing,which brings negative performance to the enterprise in the short term.Financial performance analysis would research about the financial index,analyzing four basic indicators of enterprise's ability from horizontal and vertical dimensions.Basic ability of four indicators for enterprise is analyzed.It shows that after the merger,solvency although would face a certain pressure,there is a significant boost profitability and operation ability.It's development ability might be miserable,after a further integration,can achieve better performance.The non-financial performance analysis would analyze specific conditions after the acquisition of Nanjing Xinjiekou Department Store Co.,Ltd,in terms of customer resources,design resources,management talent resources,e-commerce resources specific performance.Finally,based on the results of overseas m&a,this paper provides countermeasures and Suggestions for China's retail industry to better carry out overseas m&a business.For the purpose of this article,the innovation is that unlike most predecessors took a single method of performance analysis to analyze performance,would provide three analysis methods,fully shows the m&a impact on performance;In addition,the former research mainly focused on the fiancial industry and technology industry.There is a lack of the study of retail industry,but retailing could actually reflect the status of a country and region economy.therefore,the study of overseas m&a performance of retail industry is very significant for the development of the national economy.Therefore,this paper innovatively studies the performance of overseas mergers and acquisitions of retail enterprises.
