Along with our country's economic position in the world is more and more important,the extensive growth has not adapted to the development direction of the company.To be bigger and stronger,the enterprise must select the advantage resource of restructuring,which the trend is more obvious in the chemical industry.Current chemical industry exist obvious resource wastage,environment pollution problem,limitaion for chemical enterprises is increasingly strictly.Multinational chemical companies facing problem on increasing investment cycle much longer,audit rare characteristics,small and medium-sized chemical companies facing problem in the growing environmental cost pressure,then how to survival has become a top priority.In this environment,M&A has become the strategic development of the chemical industry preferred.The completion of mergers and acquisitions,however,is only part of the M&A targets,only to realize the effective integration,to achieve the expected goal of mergers and acquisitions,M&A are valuable.Researches about the success rate of mergers and acquisitions at home and abroad,the empirical results show that M&A failure rate is higher,for various reasons,which one of the most important is the integration after the merger,and cultural integration is the key factors in the integration after M&A.In this paper,with one of the world top 500 enterprises-Henkel chemical enterprises,and domestic private enterprises G as domestic leading enterprises in quick-drying glue market,through their M&A case analysis,found although has experienced the long due diligence,risk analysis,integration plan and cooperation negotiations,but in the actual process of integration,as a result of cultural integration does not reach the designated position,lead to originally is a low risk,high income of the combination of M&A projects in a short period of time will appear all sorts of production,management,personnel,sales and other issues,and then after a fire outbreak of contradictions,Henkel company will have to make decision on G company to shut down.This article from the perspective of cultural integration to study the problems faced by most of the large foreign enterprises in the merger integration,through corporate investigation and discussing to analysis the root course of culture conflication,also according to SystemDynamic model to get the result on coporate culture integration,expected to be helpful for enterprise M&A on intergration process for providing the useful reference and improving the possibility of success in the future.
