At present,some private enterprises in China's private enterprise governance institutions meet the compliance requirements,but in the business development,they encounter slow decision-making,low supervision efficiency and insufficient personnel incentives.Private entrepreneurs still need to face these shortcomings stemming from the corporate governance structure.The problem of governance caused by tactful imperfections,therefore,private enterprise managers need to continue to optimize corporate governance structure on the one hand,but also need to pay attention to other institutional construction,and ultimately increase the effectiveness of corporate decision-making,comprehensive human ability,executive supervision effectiveness and employee Incentive constraint effectivenessThis paper uses the case study method to analyze the current situation of private H companies,such as business overview,shareholding structure,organizational structure,governance institutions and employee incentives,and then use the definition,reasons and specific governance content of corporate governance in corporate management.Combined with the actual situation of H company,analyze the reasons for its internal governance problems,such as the fact that major shareholders have no absolute control over the company,the board lacks governance efficiency,the board of directors lacks independence,and the incentives and constraints of managers are insufficient.Carry out improvement research and propose corresponding safeguard measures and expected resultsThis paper is divided into five parts for case analysis.The first part is the introduction.It mainly introduces the research background of corporate governance and the status quo of corporate governance research,including the foundation of corporate governance,internal and external environment and specific implementation mechanism,and introduces the research methods and innovations of this paper.The second part is the theoretical basis of corporate governance.Combining incentive theory and principal-agent theory to further introduce the definition,reasons and governance content of private company governance with family characteristics,and this part provides theory for the research of this paper.The third part is the case text H company has a high degree of family governance characteristics.Balanced equity is prone to decision-making stalemate,staff decision-making leads to low efficiency of board decision-making,low supervisory efficiency,and insufficient employee incentives.The fourth part is aimed at the improvement analysis of H company's governance problems,and proposes the governance principles to solve the H company governance problem:the division of power of the senior management team,the diversification of the company's shareholding structure,the balance of equity and the separation of ownership and management rights.And based on the corporate governance principles,the company proposes specific improvement measures for the problems existing in the company's shareholders' meeting,the board of directors,the board of supervisors and the employee management system;the fifth part is to improve the safeguard measures and expected results.
