| Since the American economists Bailey and Means put forward the concept of corporate governance structure in 1932,many scholars have carried out various studies on corporate governance from different angles.With the vigorous development of the market economy and more and more large enterprises appear in recent decades,many enterprises are developing towards collectivization.However,due to the strategic mismatch between parent and subsidiary companies,role conflict,unreasonable governance structure,unitary governance mechanism and other reasons,more and more enterprises in the process of group management and governance,the effectiveness of group governance is insufficient,which not only breaks the overall governance plan of the group,but also seriously affects and restricts the further development and growth of enterprise groups.In order to solve the above problems effectively,based on the existing corporate governance theory research results at home and abroad on the basis of the corresponding analysis and reference,to the listed Group B as the research object,by means of interviews with key personnel,finishing the Group B in governance structure and governance mechanism problems.Through to the Group B,a subsidiary of governance failure analyses of real cases,further clarify the current Group B in governance focuses on the problems of group governance structure and governance mechanism to implement.According to the different degree of closeness between each subsidiary and the group company,corresponding suggestions for improvement are given from the perspective of the optimization of the group’s governance structure and the implementation of its governance mechanism,and a systematic optimization scheme is proposed to improve the governance status of Group B,hoping to help Group B avoid governance risks caused by poor governance to a certain extent.Achieve the long-term stable development of the Group B in the future. |
