With the deepening of the cultural management system's reform,China has actively launched the construction of a corporate governance structure for public cultural institutions.The promulgation of various laws and regulations has provided a good policy environment for the establishment and improvement of the corporate governance structure of pubic cultural institutions,and promoted the application and popularization of the corporate governance model in practice.Nowadays,the reform of corporate governance in public cultural institutions is still in the exploratory stage,and there is still no systematic and regional research.Based on the theory of principal-agent and stakeholder theory,this paper takes the pilot-oriented Zhejiang Province as the study area and the public cultural institution as the research object to construct the model of corporate governance;then verifies the rationality of the model through the analysis of practice and questionnaires,and make appropriate corrections and improvements.Finally,try to put forward the strategy of promoting corporate governance in public cultural institutions in Zhejiang Province.The framework of model is the basis of the full-text research,which mainly includes the logical premise,theoretical support(Principal-agent Theory,Stakeholder Theory),coreelements(the board of directors,executor,the board of supervis-ors),the realization mechanism and the influence of external forces on corporate governance.In order to grasp the implementations status of corporate governance in public cultural institutions in Zhejiang Province,this paper adopts the methods of field investigation and questionnaire survey,and lays a foundation for the test of the previous hypothesis and the verification of the model.The study found that the practice in Zhejiang Province showed the following characteristics:active promotion under policy guidance,exploration based on experience sharing,and diversification attempts to combine regional characteristics.The questionnaires were conducted by p-ublic cultural institutions.As practitioners and witnesses of reform,their cognition of corporate governance stems from practice and influences practice.Finally,this paper takes the model's amendments and policy recommendations as the conclusions of the study.Through the analysis of the implementation situation in Zhejiang Province,it is necessary to consider the particularity of practice,pay attention to the institutional design of different scale public cultural institutions,give play to the role of party branches,and effectively implement the decision-making status of the council in order to better display the advantages of corporate governance.Combined with the constraints in the practice of corporate governance in public cultural institutions,this study proposes strategies for improvement from the aspects of governance concepts,governance subjects,governance processes,and external forces.
