State-owned enterprises have a prominent position in China's economic transformation and development,and all previous Chinese governments have attached great importance to this and have played a decisive role in the reform of state-owned enterprises.The historical development,reality,and direction of reform of state-owned enterprises in China have made the improvement of the modern enterprise system an important part of the reform of state-owned enterprises in China,so the system of the board of directors as an important part of the modern enterprise system highlights the significance of the gradual deepening of the reform of state-owned enterprises in China.The policy background of the Chinese government to promote this round of reform of state-owned enterprises and the intellectual resources accumulated by Chinese state-owned enterprises themselves and other things have made it possible for the establishment of a board of directors system.The essence of the establishment of a board of directors system in China's state-owned enterprises is to improve the modern corporate governance structure and form a decision-making assistance mechanism for the directors,so as to establish a scientific and standardized government-enterprise relationship.The complexity of the reform of state-owned enterprises in China and the conditions and particularities of the establishment of the board of directors determine the unique role of the government in this process.The positive interactive relationship between government-enterprise relations in the reform of state-owned enterprises and the role orientation in the transformation of government functions have provided empirical sources and realistic foundations for the further development of government functions.The major role of the government in the establishment of the board of directors of China's state-owned enterprises is as follows: the government is the promoter,instructor and service provider of the board of directors of state-owned enterprises in China.At this stage,the Chinese government has achieved remarkable results in the process of building the board of directors of state-owned enterprises: the guiding direction has become increasingly clear,and the rules have been gradually refined;the modes of action are flexible and diverse,and the benefits of reforms are significant.However,on the one hand,the government has achieved the above results in the construction of the board of directors of state-owned enterprises.On the other hand,it also has problems in terms of policy basis,dialogue and communication,and supervision and restriction.Through learning from the governance model of foreign typical state-owned enterprises' board of directors,based on the status quo of the role of the government in the construction of the board of directors of state-owned enterprises in China,improve the detailed rules for the establishment of the board ofdirectors of state-owned enterprises in China,strengthen the dialogue and communication among various departments and state-owned enterprises,and improve related supervision and restriction mechanisms are used to urge the government to play a benign role in the establishment of the board of directors of state-owned enterprises in China.
