As an effective measure for contemporary shareholders to effectively exercise shareholders' rights and safeguard shareholders' interests,the voting rights collection system of shareholders has been gradually improved and developed in the company law and corporate governance system of developed countries and regions since its inception,but the relevant legal system is relatively lacking in China,and there are many aspects.Legislative blank.With the continuous development of China's capital market and the further requirement for the perfection of corporate governance structure,the legislative perfection of the voting rights collection system of shareholders has important practical significance for standardizing corporate behavior.Based on the concept analysis and historical development of shareholder voting rights collection system,this paper focuses on the legal system and legislative practice of shareholder voting rights in China.By combining the characteristics and practical problems of the case and legal system,it analyses the legislative status and practice of shareholder voting rights in China.The author suggests that firstly,the definition of solicitation behavior should be clearly defined and defined in the legislative model,and mandatory rules of information disclosure and solicitation behavior should be established.Secondly,combined with the existing practice,the scope of the collection fee and the collection subject should be clarified through the legal system.Establish effective information disclosure system and legal regulation mode.Finally,we should formulate the legal norms concerning the network solicitation behavior,improve the relevant review and supervision mode and legal remedies,in order to effectively protect the rights of shareholders and maintain the company's operation order.
