With the rapid development of economic globalization and knowledge economy,the implementation of the "going out" strategy and overseas mergers and acquisitions has gradually become an important strategic way to quickly improve Chinese enterprises'technological innovation capability and international competitiveness.Especially in recent years,a large-scale wave of overseas mergers and acquisitions in the international market which made by Chinese enterprises has become a very compelling phenomenon in the process of world economic development.Based on reviewing the relevant literature,this paper analysis the theoretical basis of overseas mergers and acquisitions from the aspects of enterprise merger and acquisition theory and the theory of foreign direct investment,it also focuses on the analysis of the theory of resource integration in overseas mergers and acquisitions and introduces the content of resource integration.Based on this,after analyzing China overseas mergers and acquisitions history evolution and characteristics,we use the method of case study of J Company's overseas mergers and acquisitions activities,and analysis the background,status quo of overseas mergers and acquisitions.According to the study,firstly,in the aspect of strategic integration,there are some problems in J Company's overseas M&A process,such as the lack of strategic objectives and the poor integration of strategic integration.The reason may be that the strategic integration planning is imperfect and incomplete.Secondly,in terms of the integration of enterprise culture.J company has overseas M&A corporate values been not unified,the enterprise culture identity of employees is low,and the reason lies in the differences of external institutional environment,the attention of enterprise culture integration is not enough and the failure to build an effective cultural communication mechanism.Thirdly,in terms of the integration of human resources,the turnover of employee has occurred in the J Company's overseas M&A,the potential risk of leaks also began,and the company's human capital level began to decline.The reason lies in the lack of perfect integration of human resources planning,secret protection mechanism,emergency response mechanism and the internal mechanism of training.Fourthly,in terms of science and technology resource integration,there are still many problems,such as indigestion of technical resources,and many disputes over intellectual property rights in J company's overseas M&A activities,the reason is because of the lack of science and technology absorption mechanism and lack of science and technology resources to transfer the preparatory work before.Fifthly,in the aspect of financial resource integration,there are also problems in J's overseas M&A,such as difficulty in debt restructuring,rapid upgrading of non-performing assets and so on.The reason is lack of perfect financial management system and improper disposal of bad assets.Finally,to guarantee the smooth implementation of the above measures,J also need to do the following measures:enhancing the strategic coordination and the coverage of strategic integration;enhancing the mutual recognition of values,building a common vision of the enterprise,and establishing a long-term communication mechanism of enterprise culture;strengthening publicity,enhancing employees' identification with enterprises,strengthening the secret protection mechanism,and optimizing the recruitment and training mechanism;improving the strength of the research and development of the technology,selecting the appropriate mode of technical integration,and strengthening the understanding of the intellectual property system in different countries;optimizing its own financial management system,reducing the risk of debt restructuring,and reducing the loss caused by the increase in the rate of non-performing assets.The conclusion of this study will be helpful for Chinese enterprises' "going-out" and the rapid development of technological innovation capability.
