Listed company is a representative of a modern company,and the separation of ownership and management rights,that is,the separation of the two powers is an important theoretical basis for the existence of listed companies.The " separation of powers" system is generally considered to be the source of inconsistency between the owners and operators of listed companies.In practice,listed companies in order to fully mobilize the enthusiasm of senior management and core technical staff,and ultimately improve the performance of listed companies,and gradually implement employee incentives.The employee incentive system comes from solving the shortcomings of the "separation of two powers" system,and in repeated practice,it has been refined into the current mainstream principal-agent theory,human capital theory and corporate governance structure theory.Equity incentives and employee stock ownership plans are two kinds of employee incentive tools that are commonly used by listed companies.They have become an important part of the modernization of listed companies.Their main purpose is to bind the future development of listed companies to the interests of incentive targets and form employees.The interests of shareholders and listed companies,thereby promoting the development of listed companies,improving the performance and fundamentals of listed companies,and ultimately improving the overall value of listed companies.This paper takes China's listed companies as the research object,systematically analyzes the equity incentives and employee stock ownership plans of listed companies,and adopts the empirical research method of descriptive statistical analysis to evaluate the equity incentives and employee stock ownership plans of listed companies in China.Organize and count multi-dimensional elements,and summarize key aspects of the two methods,such as definitions,applicable laws and regulations,characteristics,and accounting and taxation policies,and refer to the auditing points of the regulatory agencies.Organize the status quo of equity incentives and employee stock ownership plans of listed companies in China.At the same time,in order to better distinguish and use the two tools of equity incentive and employee stock ownership plan,the author combines the actual work experience,and makes a difference between the two at the end of the text,and analyzes the program points,regulatory requirements and advantages and disadvantages of the two.And give specific implementation suggestions,hoping to provide useful reference for research,judgment and practice for listed company Dong Jiangao and third-party financial consultants.
