State-owned enterprises lay an important material and political foundation for the development of socialism with Chinese characteristics.With the constant reforms and development of state-owned enterprises,however,there comes a series of problems,especially problems with supervision,to be tackled without delay.For some state-owned enterprises,market-oriented management is yet to be established at present;modern enterprise system still goes unsound;there still remains improvement in regulatory systems of sate-owned assets;the operating efficiency of state-owned assets still remains to be improved;there exist such serious problems as insider control,propping and severe loss of state-owned assets.Internal management is left in chaos in some state-owned enterprises where misappropriation,corruption,propping and state-owned asset squandering are quite common.In view of this,further studies on supervision and administration among state-owned enterprises will exert a significant effect on further reforms to state-owned enterprises,establishing fair and just environment for economic development,preserving and appreciating the value of state-owned assets and giving play to the key role of state-owned enterprises to national economic development.This paper,taking supervision management experiences of Guangzhou Lingnan International Enterprise Group Co.,Ltd.in Guangdong Province(hereinafter referred to as "Lingnan Group"),studied the supervision and management system of the group and consulted relevant research literatures both at home and abroad from the perspective of effective supervision and management among state-owned enterprises,.In line with the characteristics of China,the paper dissected,through questionnaire surveys,interview and return visit,the following major problems with existing supervision and management systems for state-owned enterprises in Guangdong Province: undefined responsibilities and rights between the government and corporate management level,unsound corporate governance structure,unsound supervision system,separation between supervision authorities and information,unsound incentive and restriction institutions,etc.After digging deep into causes for such problems,the paper suggested improving Articles of Association to establish the power-responsibility system where responsibilities and rights are clearly defined.Besides,it proposed to standardize the board of directors,improve corporate governance structure,establish “internal-external combination and upper and lower integration” supervision system and give play to the functions of various supervision bodies to establish the “mass supervision” management pattern.In addition,it argued that measures should be taken to fuel the progress in professionalization of externally-employed and internal managers,finalize performance-oriented incentive and restriction institutions,and step further in exploring improvement in relevant institutions.This way,it is designed to open up ideas to reinforce supervision and management among state-owned enterprises.
