Research On M&A Risk Of Internet Enterprises

In recent years,with the rapid development of China's economy and the unpredictable market pattern,In the field of the Internet,there has also been a change in the Internet,and all the Internet companies have been through M&A for their survival or development.The history of M&A in China can be traced back to the 1990 s.In the past 30 years,this economic model has developed rapidly and played a great role in the process of large-scale operation of enterprises.With the development of socialist market economy in our country,enterprise M&A,especially Internet M&A,is in a normal state in the current economic development.In a manner of speaking,our country economy unceasing development,promoted the development of our country merger and acquisition.Of course,M&A plays a more and more important role in promoting the development of China's economic market,so we must have a correct understanding and enough attention to M&A.Although M&A has many advantages,it also has considerable risks.Although M&A can increase the scale of enterprises and improve the comprehensive strength of enterprises,there's a risk.The common risks of Internet enterprises in M&A are mainly divided into three categories: pre-merger risks(M&A decision risk,policy body)System risk,asymmetric information risk,M&A risk(financial risk,competition risk)and post-merger risk(management integration risk,human resources integration risk,cultural integration risk),etc.Different M&A risks will have different consequences and different losses.Therefore,we must adopt a rational attitude towards mergers and acquisitions: M&A does have many attractive places,but have the both sides made careful assessment of the risks in the process of M&A? Before M&A,how to control the risk of decision-making and policy system? In the process of M&A,how should both parties control their financial and competition risks? In the later stage of M&A,both parties should How to control the risk of integration? Therefore,it is necessary to identify and prevent the risks of mergers and acquisitions of Internet enterprises effectively,and strive to realize the synergy of mergers and acquisitions.This article selects the typical Internet M&A case of Youku net merger and acquisition of Tudou net to study the risk identification and prevention measures of Internet M&A by using the case study method,literature research method and segmented identification method.The first part of this paper briefly introduces the research background,meaning,the domestic andforeign literature and the deficiency,etc.the second part systematically introduces the relevant theoretical basis of M&A risk.The third part introduces the case of Youku's merger and acquisition of Tudou net and analyzes the effect of merger and acquisition.Part 4 makes a detailed analysis of the M&A risk existing in the course of Youku's merger and acquisition of Tudou net.The fifth part is in the theory and case The conclusion of this paper is as follows:(1)the merger and acquisition has promoted the market share of Youku to a certain extent and the number of users has increased greatly;(2)this merger and acquisition optimizes Youku Tudou's resources to the maximum extent,reduces the operating cost;(3)the merger and acquisition strengthened the core competitiveness of the enterprise,promoted the enterprise to create higher profit growth point,realized the synergy effect,and formed the certain scale economy effect.
