With the economic globalization and the rapid development of the Internet economy,China's politics,economy,and society have also undergone tremendous changes.In recent years,the phenomenon of competition between entrepreneurs and investors for control has been particularly prominent in large listed companies,Internet companies and other enterprises or industries.At present,small and medium-sized start-ups are booming.Both the number and size of enterprises are experiencing exponential growth.However,many companies are facing or will soon face competition for rights between founders and investors.The control of many large listed companies has led to official reports and social debates.This is partly due to the failure to identify and properly address the issue of control allocation in the early days of the company's creation,which ultimately led to the company's development.The dispute of rights after the expansion has seriously affected the normal operation and social image of the enterprise.The issue of control rights in such corporate governance has always been concerned by academic research.In the current social background of "mass entrepreneurship and innovation",the discussion on the control of entrepreneurial enterprises is a research hotspot in recent years.In order to avoid the remedial measures to reinforce the company after the company grows up,and to minimize the negative impact on the enterprise,the issue of ownership and allocation of the control of the startup enterprise should be paid attention to and dealt with effectively.This paper chooses a typical startup enterprise as the research object,and presents different modes of control allocation in the process of its establishment to the introduction of investment,equity disputes,and revision of the charter.At the same time,the case is moderately sized,and the three entrepreneurial partners have a clear division of roles.Each represents a different stakeholder in the startup.The behaviors and case processes are very typical and representative,and can clearly explain the startup.The issue of control rights is conducive to deepening the motivations,factors and influences that lead to the struggle for control.Therefore,this paper uses literature analysis,field research and case study to explore the process of competition between entrepreneurs and investors in the entrepreneurial enterprise,and provides practice for the rights allocation and corporate governance theory of entrepreneurs.Theoretical contribution.First of all,the article first briefly describes the theoretical and practical background of the research,puts forward the research significance of this paper,clarifies the more specific research content and methods,and constructs the research ideas and corresponding technical routes.Secondly,the basic situation of the research enterprise and the control content competition process are introduced in detail,and the research materials and data are provided for the later case analysis.Then,based on the comprehensive analysis of the literature,combined with the existing theoretical basis and case characteristics,the author analyzes the ownership of control in each stage of the development of the entrepreneurial enterprise,and then synthesizes the motivation,acquisition method and influence result of the control right.analysis.Finally,the paper concludes that the research conclusions of this paper are obtained,and based on the conclusions,it provides management suggestions with reference value for other startup enterprises to avoid similar problems.
