City commercial banks are playing a more important role in China's financial system. With the rapid development, the problem of imperfect corporate governance mechanism has become an internal incentive for bank risks.Risk bearing is not only a problem that banks must consider for their own development, but also concerns the interests of depositors, investors and even the economic stability of the whole society. Therefore,it is necessary to link the corporate governance factors with the risk-taking of city commercial banks to explore ways to improve the level of corporate governance and control risks.Based on the theory and current situation of corporate governance and risk-taking,this paper examines the relationship between corporate governance factors and risk-taking of city commercial banks by using multiple regression through manually sorting annual report data and selecting annual data of 30 city commercial banks from 2010 to 2018 as research samples. The empirical results show that the ownership structure has a significant negative correlation with bank risk-taking.Among them, the concentration of shares,state-owned shares and foreign capital background can reduce the risk-taking of city commercial banks.Larger board size is conducive to controlling risk appetite, but the proportion of independent directors has no significant relationship with bank risk bearing. The size of the board of supervisors and the proportion of external supervisors are negatively related to risk-taking,but they are not significant. The two external governance factors of capital supervision and depositor restraint can significantly inhibit the risk-taking of city commercial banks. In addition, further research finds that the internal governance mechanism and external governance factors interact with each other, and the inhibitory effect of capital constraint and depositor constraint on risk-taking will change according to the different levels of internal governance. Finally, summarizing the theoretical and empirical research results, this paper puts forward policy suggestions on improving corporate governance mechanism and reducing risk taking from three aspects:improving internal governance mechanism, strengthening external constraints and paying attention to differentiated management.
