| As the birthplace of tea plants,China has a long history of several thousand years.The role of tea in the export trade of agricultural products should not be underestimated,and its role in the national economy is extremely far-reaching.However,there are many shortcomings in the tea industry in China,mainly including large number of enterprises,small scale,large cost input,lack of competition and low concentration of industries.In this regard,the tea industry in China needs to optimize the allocation of resources more rationally,realize large-scale centralized operation,and make the enterprise bigger and stronger through merger and reorganization.Compared with other mature industries,M & A in tea industry is still in its infancy.Therefore,M & A plays an incomparable role in improving the influence,shaping brand image and scale of tea production.The rapid accumulation of assets,the expansion of resources and the coordinated allocation and excavation of resources are inseparable from the economic means of mergers and acquisitions.According to the research of many scholars at home and abroad on the success rate of M & A,it is shown that the risk of M & A is very high and the failure rate is high.The most important thing in the cause of failure is that there is no effective and reasonable planning for the resources after the merger,and the integration of the financial part is the most important part of the integration.This paper firstly introduces the background and significance of the research,and gives a reasonable and comprehensive description based on the investigation and research of m&a and reliable theoretical knowledge at home and abroad.Then combines the relevant experiences and methods of the financial integration after the merger and acquisition of Chinese tea enterprises,namely,the financial management target,the financial system,the accounting system and the internal control of the cash flow.The internal and external assets and relations between enterprises and other six aspects of integration,selected the X tea enterprises from the start to the integration of the implementation of the relevant cases,in-depth analysis of the financial integration of X tea enterprises after the financial integration of the failure of the hidden dangers,in-depth discussion on the success or failure of the financial integration of China’s tea enterprises after the merger and acquisition of the subjective and objective factors of the success or failure of the financial integration.The optimization strategies of financial integration after M & A of X tea enterprises are put forward,which are: clear the objectives of financial management and operation,integration of financial managementsystem,integration of accounting system,integration of cash flow,Integration of assets and liabilities and integration of external financial relations.The purpose of this paper is to analyze and discuss the problems and deep-seated reasons through more perfect cases,and put forward some suggestions for the success of financial integration after the merger and acquisition of tea enterprises in China.It is hoped that our tea enterprises can improve their financial integration attention and give enough attention. |
