In recent years,with the rapid development of consumer electronics industry,especially smart phones,the performance of consumer electronics components suppliers in the upstream industry of consumer electronics is also rising,and the overall capacity is expanding.With the intensification of industry competition,listed companies have begun to merge and restructure,strong alliance to enhance their competitiveness,which makes the industry concentration further improved.As the world's leading supplier of consumer electronics precision functional devices,Triumph Lead Group has been expanding its production scale with the rapid development of consumer electronics industry in recent years.However,because the manufacturing of consumer electronics precision functional devices belongs to capital-intensive industry and the demand for capital is large,it has become Triumph Lead Group's vision for many years to be able to access the capital market for financing.This paper takes the acquisition of Jiangfen Magnets by Triumph Lead Group as the research object,and uses the general paradigm of case-based papers to carry out the research.Firstly,the background and significance of the case study are introduced from the internal and external environment of the acquisition of Jiangfen Magnets by Triumph Lead Group.Then,on the basis of a large number of data analysis,industry research and in-depth interviews,this paper combs and summarizes the industrial chain,industry characteristics and industry development respectively,and makes a brief introduction to the enterprises and industry mergers and acquisitions of both parties involved in the merger and acquisition transaction,which reproduces the basic situation,merger and acquisition plan and Implementation process of all parties involved in the whole merger and acquisition event.Next,using the related theories of strategy and M&A,this paper makes a thorough analysis and dissection of the whole M&A case from the perspectives of motivation,effect and problems of M&A.Finally,on the basis of the case study,the effect of M&A is analyzed from the aspects of products,customers and financing channels.Suggestions are made on the post-M&A work of Triumph Lead Group from the aspects of technological innovation,accelerating integration,internal control and business structure.The shortcomings in industry expectation and M&A integration are pointed out,and the case is given toM&A management.The enlightening significance is summarized.Through the case study of the acquisition and backdoor listing of Jiangfen Magnets by Triumph Lead Group,this paper puts forward some suggestions for the future strategy formulation and operation development of Triumph Lead Group.This case study has certain reference significance for the future M&A activities and strategy formulation of other enterprises in China's consumer electronics industry chain.
