Research On The Influence Of M & A Mode On M & A Performance

With the process of economic globalization and the aggravation of market competition,the scale and scope of M & A of enterprises continue to expand,from the initial horizontal M & A of the same industry to the vertical M & a connecting the upstream and downstream of the industrial chain,and then to the later mixed diversified M & A.At the same time,the payment method of M & A has also been further developed,from the original single cash payment method to the stock payment method,until now there are a variety of hybrid comprehensive securities payment methods,such as cash,convertible bonds and warrants.Therefore,only by continuously expanding capital to enhance their own strength can enterprises seek long-term development in the fierce competition.In recent years,merger has gradually become an effective way of capital expansion,and "strong alliance" has become the mainstream of capital market development.Relevant research shows that the way of M & A is gradually diversified,and the main body of M & a gradually changes from external M & A to internal resource integration.This paper takes Midea Group's share exchange,absorption and merger of little swan as the research object,and uses case analysis method and financial ratio analysis method to analyze the internal motivation and business performance of Midea Group's absorption and merger of little swan.The research results show that through share exchange,absorption and merger,the management mode of Little Swan has been changed,the market segmentation has been realized,more market shares have been obtained,and potential competition among peers has been solved Meanwhile,through the comparative analysis of specific data,we find that Midea Group has achieved positive market performance for the merger of cygnet in the short term,or brought positive positive impact on financial performance in the long term,and its profitability,growth ability and solvency have improved to a certain extent.On this basis,the relevant policy recommendations for other enterprises to be merged should choose the appropriate way of payment,which has a certain reference value and decision-making significance.
