In order to improve the operation and management efficiency,state-owned enterprises must standardize the corporate governance mode,establish a sound operation and management mechanism,and optimize the existing enterprise management means.Through the implementation of mixed ownership reform of state-owned enterprises,introducing private capital,fusion of market-oriented operation and management idea,the change of property right structure which stimulates effective reform of the corporate governance,use of marketization operation management ability of the enterprise,to stimulate the enterprise's endogenous power and vigor as a main body of market management,and to realize standardization of company operation as well as marketization of corporate governance.The modern corporate governance structure is the foundation for the standardized operation and efficiency improvement of enterprises,also the reasonable and effective incentive and restraint mechanism is a strong guarantee for the sustainable development and growth of enterprises.At present,the key problem in the operation of state-owned enterprises,in essence,is the problem of property rights.Under the single state-owned shareholder control,the lack of effective checks and balances of equity structure and flexible management mechanism,have caused some state-owned enterprises,including JT company,institutional rigidity,shortage of operating energy,incomplete corporate governance structure,long management decision-making process,low efficiency,insane personnel system,which lead to failing in achieve expected performance appraisal system.The salary management tends to be egalitarianism.The staff's passion for work is low.Reform is of vital importance in the enterprise's sustainable development.The reform practice of mixed ownership enterprises in China has proved that mixed ownership enterprises can effectively combine the law of market operation and enterprise development,with the diversification of equity and the improvement of corporate governance model.It can also improve and optimize the overall operation and management efficiency of state-owned enterprises.However,regarding the model of mixed ownership reform of state-owned enterprises,it's not stable or universal but diverse,such as capital of the enterprise increasing,mergers and acquisition,employee stock ownership.The path and pattern of reform are planned in accordancewith specific conditions.By studying the background,process and development status of mixed ownership reform in China,this paper mainly analyzes a series of governance problems and current improvement effects in the development and operation of JT company,and demonstrates the necessity of implementing mixed ownership reform in JT company.According to the characteristics of JT's collectivization organizational structure,asset scale and diversified business operation,a combination plan of mixed ownership reform was set up,including capital increase and share expansion,capital purchase,joint venture new establishment and employee shareholding.To ensure the smooth implementation of the mixed ownership reform,put forward schemes including the protection of property rights in accordance with the law,equal participation,cultural conflicts resolving,employee's interests protecting,dynamic stock equity management,fault tolerant and correcting mechanism,formal establishment and procedures of “board of shareholders,board of directors,board of supervisors and managers”,the organization coordination improving,market-oriented personnel mechanism,professional managers and equity incentive introducing,staff's passion and efficiency stimulating,as well as building efficient and standard corporate governance model.
