Research On The Overseas Listing Of The VIE Model Of My Country's Private Education Enterprises

In September 2018,General Secretary Xi Jinping stressed at the national education conference that priority should be given to the development of education.In recent years,Chinese private education enterprises have developed rapidly.The improvement of education law,Private Education Promotion Law(hereinafter referred to as the "people's promotion law")and other relevant laws and regulations also provide opportunities for private education enterprises to obtain direct financing.Many private education enterprises have gone overseas to list.Scholars at home and abroad pay attention to the motivation and effect of overseas listing of enterprises,and the research results are very rich.However,the research on the mode and motivation of overseas listing of mainland enterprises in China is still insufficient,especially for private education enterprises.Therefore,this paper has important theoretical and practical significance.This paper focuses on the motivation of private education enterprises' overseas listing,discusses the mode of private education enterprises' overseas listing and its possible advantages and risks.Taking a successful overseas listed company,as an example,it analyzes the effects and problems after its listing.Under the new situation after the revision of private education laws and regulations,the overseas listing mode of private education enterprises and its possible advantages and risks are discussed some suggestions are put forward.This paper is a special topic study by using the methods of normative research and case study.First of all,private education enterprises listed overseas.This paper mainly introduces the listing location and mode selection of overseas listing.Secondly,this paper discusses the general motivation of overseas listing and the unique motivation of private education enterprises.Restricted by the capital market system in China's mainland and the influence on the profit orientation and tax policy of education enterprises,the private education enterprises in China's mainland tend to go overseas listing.Then,this paper analyzes the VIE listing model and its risk of private education enterprises in China.On the one hand,VIE mode and its characteristics,on the other hand,the scope of application and specific forms of VIE mode in China's private education enterprises,and finally,the main risks of the foreign listing of VIE mode in China's private education enterprises.Next,the private education enterprises listed overseas VIE case analysis.This paper first introduces the General Situation of VIE listing of good future company,then introduces the development after good future listing,finally introduces the problems and countermeasures under the VIE mode.Finally,based on VIE mode overseas listed private education enterprise risk prevention measures.First of all,it is the risk prevention countermeasures against the changes in the external regulatory environment.Secondly,it introduces the Internal Governance Risk Prevention countermeasures of private educational enterprises in VIE mode.The main innovation of this paper is that,from the perspective of private education enterprises,this paper discusses the risks of overseas listed enterprises.Taking as an example,it deeply analyzes the risks and achievements of overseas listing,and puts forward reasonable suggestions for the problems,so as to provide reference for private education enterprises in choosing overseas listing financing.
