Private enterprises are the backbone of Chinese innovation,especially private high-tech enterprises,are an important platform for innovation and entrepreneurship,and a powerful engine to promote China’s rapid economic growth.However,for private high-tech enterprises,which are faced with the dilemma of the loss of core technical personnel,a long-term incentive mechanism is needed in order to retain and attract talents,and equity incentive plays its due role.Since the issuance of Equity Incentive Management Measures for Listed Companies(Trial)by China Securities Regulatory Commission in 2006,the number of private high-tech enterprises launching equity incentive plans has been increasing.However,the effect of equity incentive in most enterprises is not satisfactory,because the design of equity incentive plans is too simple and the design of schemes is not paid much attention to.As a result,there are a series of problems in the equity incentive plan,which ultimately affects the incentive effect,which is not conducive to the enterprise to retain talents and attract talents,and may affect the innovation strength of the enterprise,and then affect the performance of the enterprise,making the enterprise unable to develop well.On the basis of summarizing relevant theories and concepts,this paper first analyzes the basic situation of private high-tech enterprises,mainly analyzes the industry situation,the characteristics of private high-tech enterprises and the common problems of this type of enterprises.Combined with the case of Anke Biology Company,this paper analyzes the motivation of equity incentive,and finds that the main purpose of equity incentive is to attract and retain core technical personnel,so as to maintain the innovation strength of the enterprise,improve the enterprise performance,and help the long-term development of the enterprise.Secondly,it analyzes the equity incentive scheme of Anke Biology Company,and analyzes the rationality of the design of contract elements.It is found that there are reasonable points and shortcomings in the design of contract elements.After that,it briefly expounds the significance of reasonable design of equity incentive scheme for private high-tech enterprises.It also analyzes the financial performance and non-financial performance before and after equity incentive,and finds that equity incentive has a certain positive effect on its financial performance and non-financial performance.Finally,the paper analyzes the problems existing in the implementation of equity incentive of Anke Biology Company,and puts forward suggestions for improvement,hoping to provide guidance and reference for private high-tech enterprises,especially bio-high-tech enterprises,that need to implement equity incentive.
