With the research subject of " Human capital, Institutions of Enterprises and Performance of Enterprises", this thesis probes deep into the theories of human capital, institutions of enterprises and the differences of the performance of enterprises from a panoramic and systematic point of view, and creates a basic theoretic frame of the interrelationship among human capital, institutions of enterprises and performance of enterprises, further, the research outcome of this thesis has been used in the improvement of the performance and institution innovation of state-owned enterprises on the basis of positive verification of the theory. This thesis includes eight chapters:The first chapter mainly reviews and comments the theoretical documents related to the research subject, and creates a basis for the later research on the theoretic frame of the interrelationship among human capital, institutions of enterprises and performance of enterprises. Firstly, this chapter carries out systematic analysis of the origin of the thought of the human capital theory and the research clue; secondly, this chapter comments the following seven representative opinions of the enterprise nature: production theory, contract theory, human capital theory, game theory, capability theory, knowledge theory and value balance theory; thirdly, this chapter reviews the theory of "capital employing labor", the theory of "labor employing capital" and the theory of the share of the ownership of enterprises ; Fourthly, this chapter makes comments on the external theory of the difference of the performance of enterprises, the internal theory of the difference ofthe performance of enterprises (including contract theory and capability theory).Chapter two analyses the connotation, characteristics and different types of human capital. First of all, the thesis defines the connotation of human capital by pointing out that" Human capital is the summation of knowledge, technology, information, health, morality, reputation and social relationship which is acquired by conscious investment activities of specific behavior main body for the purpose of increasing the future utility or value increment, and which is adhered to human being with the characteristics of the difference in ability of human capital and the augmenting marginal utility"; Second of all, the thesis conducts detailed analysis of the ownership character, investment character, organization character and value character of human capital. Finally, on the basis of domestic representative classifying method of human capital, the thesis classifies the enterprise human capital into three types in accordance with the differences in the ability of human capital: ordinary, professional and creative human capital.The third chapter mainly observes the intrinsic relationship between the change of human capital and the evolution of enterprise system by applying game theory and the research method of Carl Marx of conforming history to logic. Based on the definition of enterprise nature, the institutions of enterprises and ownership of enterprises, the thesis analyses the disposition logic of the ownership of enterprises by adopting game theory, then, it conducts historical analysis to the change of human capital and the evolution of enterprise system, it further points out that: " The nature of enterprise is the creation and distribution of 'cooperative surplus'. The distribution of cooperative surplus is decided by the negotiation capability and game strategy of the element owners. From the historical angle, the negotiation capability and game strategy of the element owners change along with the changing of the technological condition and market environments etc., so the enterprise system has always been evolving incessantly. From the view of qualitative evolution tendency, the human capital participates in the share of 'cooperative surplus', and at the mean time its percentage is constantly increasing; from the quantitative evolution process, the evolution of the enterprise system has gone throug...
