As a campaign of saving country from top to bottom led by the feudatorial governor, the achievement of the political reform of late Qing dynasty may be concluded as the first mature scheme of modernization in modern China, the transform of law as the right way and the most important contention of political reform of late Qing which advanced the modernization of law and political in China. The history of Chinese law is of long standing, but the law of the West countries swarm into our country, traditional law of China comes up against all-time challenge and crisis. To save the topple feudatorial rule and continue the validity of its reign, the government of Qing was forced to perform political reform. From then on, it began to stride the step of the reform of the law, also began the modernization of Chinese law. Shen-Jiaben(1840-1913) was a famous legalist of the late Qing Dynasty, and was the Jinshi in Guangxu 9. He has been in Xingbu for 30 years from 1864 and was famous on law then and had been the most excellent officer. Shen-Jiaben accepted order to reform law in 1902. In the term of reforming law, Shen-Jiaben's reforming principle was reference and absorb law thought of ancient and today, china and foreign countries, and advocated that absorb good thought of other's law to remedy our law. To realize this aim, Shen-Jiaben organized to translate western law, western law book and law code, setup law school, retained foreign legalist to join the teaching and legislation, reformed old law and made new law, which stroke the first step of modernization of Chinese law.
