Under special background of transition economy, enterprise's anti-ethical behaviors in the economic activity emerge endlessly, which has caused maximum negative influence both in microscopic and macroscopic surface. The research on the problem of enterprise ethics under the condition of transition economy is extremely urgent. Combining positive research on the evolution and feature of enterprise ethics in China, the paper theoretically analysis the basis of enterprise ethics and the enterprise's ethics nationalism. On the basis of rationally economic analyzing the behavior of an enterprise, it is concluded that three restrictive factors of enterprise ethics are asymmetrical information, incomplete ethics quality and imperfect market. The final reason is insufficient institution supply. Feasible routes and countermeasure measures are offered from external institution supply and the enterprise's internal mechanism to promote the ethical operation of the enterprise.Neo-institution economics and western economic theory can expound and prove the ethical orientation in economic theory; At the same time, nature theory of the enterprise, human assumption theory, core competence theory, stakeholder theory also proof that there contain ethical thoughts in the management theory; Ethical thought is filled with historical evolution of classical management theory, behavior theory, "management jungle", which has offered rich theoretical basis for enterprise ethics.View from the macroscopic angle, effective operation of market economy needs certain ethical base. The enterprise's anti-ethical behaviors have negative externalities, which influences the establishment of market order and the operation of market mechanism; At the same time the enterprise's anti-ethical behaviors also have social negative effect. Seeing from the microscopic angle, enterprise ethics and the enterprise's achievements has positive relationship that is proved by positive and reverse demonstrations.
