In the traditional theory of multinational enterprises (MNES), the basic way of international operation for MNES is first forming the advantage of proprietary in their national industry group, then extend it in global. In pace with the adjustment of politics and economy, development of science and technology in the world, especially the economic rise and political improvement of developing countries, MNES as an economic phenomenon should be studied by the new economic analysis.On the bases of predecessor practice and research, the theory of study on competitiveness of MNES based on adaptive ability was presented in this paper. The main content of the paper is as follows:First, the management theory of adaptive ability has been perfect. The concept of adaptive ability is defined again after the background of adaptive ability studied. On the bases of studying on self-adapting theory and complexity system theory for enterprise, the forming mechanism of adaptive ability is analyzed, and the ways of distinction and analysis about adaptation, confirmation and evaluation are introduced. How to increasing the adaptive ability, and other management process of adaptive ability are also been included. In this paper, study on relations of adaptive ability and enterprises competitiveness by economic analysis is the theory base of this research. The study on relations of organization learning and improving of adaptive ability put forward the direction for construction of management adjustment system for adaptation.Second, the environment, competitive situation and internal factors of MNES are studied. At first the perception process of MNES to environment, non-definitude feeling to environment, and the critical point to feel the environment changing for system are studied seriously.
