As the most intensive location for "Torch Program", State-level Hi-Tech Industrial Parks play an important role in promoting regional industry development. It has clearly shown the congregation advantage of innovation resources. Now Hi-tech Industrial Parks is in transferring period of developing strategy and model, and facing the transit fi'om first-round development to second-round development. It shows the advantages of strong capability in attracting innovation resources, and problems in unclear leading industry, uncompetitive in Hi-tech industry clusters, and weakening in government supports. How to solve the existing problems efficiently and make Hi-tech Industry Parks enjoy the competition for long-term is a question we are facing now. Industry clusterss in Hi-tech Industrial Parks speed up the innovation in trading principle and methods between enterprises, indirectly promote the innovation in technology and organization for companies, and create a new enterprise resources and regional resources, which become a working source for companies' competitive power and regional competitive advantages. Therefore improving Hi-tech Industrial Parks' competitive power and realizing the target of "second-round development" through incubating and developing industry clusters are practical and valuable.This research paper is targeted at the industry clusters in Hi-tech Industrial Parks. It aims at upgrading industry and Industrial Park's competitive power. Through describing the present condition, features and the key factor in forming competition of industry clusters in Hi-tech Industrial Parks, adopting the theory and practice of Management, Politics, Economics, and case analysis, building competition of industry clusters in Hi-tech Industrial Parks as the mainstream, it researched in key factors, supporting factors, and model in forming industry clusterss, with Xi'an Hi-tech Industrial Development Zone as a case. This paper forms innovations in the following parts:1 It systematically raised the thinking for realizing "second-round development" through budding competitive advantages with their own featuring industry clusters.The industry clusters of the Hi-tech Industrial Parks speed up the innovation of trading methods and rules between enterprises and promote the enterprises' innovation in producing technology and organization model indirectly. The industryl clusters of the Hi-tech Industrial Parks also create a higher-class phase enterprises' resources and area resources and become the primary origin of enterprises' competitiveness and area competitive advantage. So the second-round development of our Hi-tech Industrial Parks relies on fostering and developing the industry clusters.2 The paper builds a competitive power model of industry clusters of Hi-Tech Industrial Parks and analyses the key factors and supporting factors influencing the competitive power of industry clusters with application to the model.Based on the research of the theory of industry clusterss and competitive power, appling the core contents of the present theory, the paper builds the competitive power model of industry clusterss of Hi-tech Industrial Parks by combining the features of Hi-tech Industrial Parks and the development of each industry in China. The factors influencing the industry clusters and competitive power of Hi-tech Industrial Parks can be divided into 6 key factors and 1 supporting factor. The 6 key factors are production factors, needing condition, related and supporting industry, enterprises strategy, enterprise organization and competition within the industry, government, and external investment; the 1 supporting factor is opportunity. All the factors are mutual linking, mutual influence, and mutual function, which created an active model being able to reflect the enterprise factors, the hi-tech industry clusterss' factors and even each factor in larger area of region. Differ from Portter's theory of analysis model of competive advantage, this paper takes full consideration to the role that the government and the external investment play to the Hi-tech industry clusters and the achievement of competive power during the development of the Hi-tech Industrial Parks of China, making the model not only be suitable for the practice of the industry clusters of China, but also be able to reflect the function mechanism of each related factor of hi-tech industry clusters more completely, and providing a theory analysis framework for researching industry dusters of Hi-tech Industrial Parks.3 The paper builds a competitive power model index system for the industry clusterss of the Hi-tech Industrial Parks combining the each related factor of Hi-tech Industrial Parks' industry clusters and in accordance with the industry competitive power model of the Hi-tech Industrial Parks.Combing the development status quo of Hi-tech Industrial Parks of China, the industry clusters' characteristics of each industry and the characteristics of the enterprises' development, the paper establishes the index system of the competitive power modal for the hi-tech industry dusters. The index system of hi-tech industry clusters can be classified as 7 wide categories and twenty-four minor ones. Meanwhile, according to the principle of setting up the competitive power modal for the hi-tech industry clusters and the index system, the writer deeply analyses and ascertains all the indexes which affect the industry clusterss of Hi-tech and competitive power in various ways and produces the index system model for calculating the hi-tech industry dusters' competitive power, aiming to supply the convenience to the route of realizing the hi-tech industry clusters and its future developing direction.4 The paper made Xi'an Hi-tech Industrial Development Zone-the largest State-level Hi-tech Industrial Development Zone in West China the applied target.Apply the competitive model and index system in analysis of Xi'an Hi-tech Industrial Development Zone. The paper collects, makes statistics and processes data in bio-pharmacy, soft'ware industry, semi-conductors industry, telecom equipment, new materials, and machinery manufacture in accordance with the 2nd level index system. It calculates using SPSS statistics software. According to the statistics results, the paper has an analysis and account to the overall competitive advantages of Xi'an Hi-tech Industrial Development Zone and take software industry as an example to raise the strategy for promoting software industry clusters' development and uplifting the software industries' competititive power.
