Staff direct-financial-compensation system plays a very important role in modem corporation system. In the process of establishing modern corporation system, it is important for state-owned enterprise to devise the staff direct-financial-compensation system that can effectively inspirit employees. In this thesis, the staff direct-financial -compensation system is researched under the background of debt translating into stock of JianXi Ammonia Factory (JA).At first, the chief current salary systems are analyzed. And the history of basic salary system of state-owned enterprise is reviewed to demonstrate that it is necessary to adjust the basic salary system with the business situation. Secondly, the existent problems of the current salary system of JA are discussed. And why the current salary system lacks inspiration is analyzed, Based on aforesaid analysis, the salary system of JA is improved in accordance with the theory of structure salary. But the improved salary system has a fault for lack of permanently inspiriting staff to word hard. Thus, on the basis of analysis of Employee Stock Ownership plan (ESOP) and Incentive Stock Option Plan (ISOP) in foreign parts, this thesis puts forward ESOP can be adopted in order to perfect the current salary system in JA. Then the analysis and design of the principle, structure, proceeding of ESOP in JA are carried out. A staff direct-financial -compensation system model with the good combination of working salary and capitalization reward are presented.To apply a theory to practice is the characteristic of this thesis. In this thesis, the theories on inspiring and paying are applied to resolve the problems about staff direct -financial-compensation in enterprises. The way to deal with a situation that has mentioned in this thesis is operable and practicable. So it is valuable. This thesis is a reference for reformation of compensation system that has been carrying on in state-own enterprise.
