Study Of The Relevant Problems On Chinese State-owned Enterprises Governance

Corporate governance is the most important part in the modern enterprise regulation. A sound corporate governance is not only the very important method for a country or enterprises to set up marketing confidence in order to attract investment, but also the basic system for corporate to establish a stable development in long term. Since 1990s, with the economic globalization, every country has laid more and more emphasis on corporate governance. Following with a series of corporate governance agreement reached by international organization and the establishment of international forum, the corporate governance has already became the most important method to measuring the country's competition power and the quality of economic increasing improvement.Since the opening policy of China, especially in 1990s, public listed company has developed in wide-scale, with modern enterprise system reforming of plenty of SOEs (state-owned enterprises), which generate a great deal of new-concept enterprises. Meanwhile, the establishment of corporate governance has been concerned widely by our governments, enterprises, and scholars. In Particular with the reconstruction of SOE into incorporation. After previously direct controlled by government to enterprises converting to indirectly macro-administrating enterprises, the problem of holding-value and value-added of national asset, etc. has become the focus point.Integrating with our nation's factual information, this paper discusses the relevant problems on SOE governance, which consists of five parts:The first part implies the basic theory of corporate governance. Firstly, it introduces the originate of corporate governance and its basic concept, major contents and general measures.The second part analyzes governance problem for SOE. Firstly, it elaborates the major problems existed in our SOE governance and then analyzes the reasons behind it.The third part introduces the corporate governance for Western country's state-owned enterprises.The forth part discusses the implication of improving our country's SOE governance and proposes several ideas for improving it.The fifth part concludes the key points in this paper, and several problems regarding our research's limitation and further questions.
