Being a super giant SOE, Dagang Oilfield Group Ltd. Co. has made outstanding contribution on resources costruction and development of China by 38 years. But, at the same time, the system of planned economy used for many decades also put a heavy burden on it. Because of the non-regeneration of oil, the company s development is limited.After 1998, the reorganinzation of public companies spread over China. So it appears what we called tide of public companies asset reorganization. This tide will deeply influence Chinese stock market and even the improvement and development of Chinese economy. Dagang Oilfield Group Ltd. Co. purchasing Aishi stock company is a bright scenic line in this tide. It shows the world their courage of adventure and fortitudinous willpower, and starts a new path of reorganization and become public for big national companies to come into market. As a normative purchasing in domestic stock market, it has not only wide pratical basis, but also deep theoretical foundation.Combining with the polity of merger strategy of Dagang Oilfield Group, the subject of manner to come into the market through buying a shell, selection of the shell, selection of the purchasing time and whole process of the purchasing, behaviors of Dagang Oilfield Group Ltd. Co. were discursed, selection of the Dagang-Aishi event was analyzed deeply in this paper. And it has good maneuverability. On the basis of these, the paper expounds merger, coming into the market through buying a shell and integrated management after merger.
