Legal Question Study On The Listing Of Foreign Enterprise

This paper analyzes the certainty and possibility of foreign enterprisesto be listed, on the basis of transnational corporations' nature and strategy of localization, as well as the opening process of China's capital market Afterwards, it focuses on methods of foreign enterprises being listed indirectly and the related regulations adjustment at the same time.Based on the analysis of current regulations on listed foreign enterprises, the author tries to search the legal conditions for foreign enterprises to be listed; on the other hand, he also tries to find some legal problems appeared in the process. Then the author analyzes those problems and puts forward and discusses further some of them specifically. The problems selected focus on the basic aspect of Corporate Law, including listed enterprises' legal responsibilities, those enterprises and some shareholders protection, supervision and multinational cooperation. Accordingly the author has also chosen some foreign laws and regulations as reference.Hopefully the mentioned problems in this paper will be helpful to foreign enterprises when they are listed.
