| In our country, the agricultural high-tech industrialization and seed industrialization develops quickly. But the rate of high-tech transformed to productivity is still very low. So the main problem is how to promote high-tech to be transformed to productivity. Chinese Bt cottonseed industrialization develops rapidly, but China joining WTO brings enormous impact on it. This paper applying comparing analysis, qualitative analysis, charts and quantitative analysis, analyzes the influencing factors of Bt cottonseed industrialization and its effective mechanism to provide demonstration experience for the researches of agricultural high-tech industrialization.After investigating the influencing factors and effective mechanism of Bt cottonseed industrialization in Jidai and Kemao Co., this paper concludes that:(1) Bt cottonseed industrialization has been influenced by many factors from system inner, such as international relationship between the participants' interest and their strength as well as outer conditions. The participants all pursue respective maximum interest, and finally they gain average profit from producing, machining and selling.(2) On the side of mechanism of Bt cottonseed industrialization, there are common grounds between and Kemao Co.: multi-participates form a advantage community with contract share in common profit, but the forms of interest distribution are different; they constitute wholesome organizes system and apply some systems, such as produce and sale in term of contract, price subsidy and non-marketing arrangement, moreover reinforce intellect development of industrialization system to evade risks; they introduce corporation production and management mechanism, take quality as the center, establish strict index system and project management system, reinforce seed production and sale management; they endeavor to increase financing channels to promote Bt cottonseed industrialization to function effectively.
